Professional Services Agreement — Knoqq Professional App
Last Updated: June 16, 2026
This Professional Services Agreement (“Agreement”) governs your access to and use of the Knoqq professional application, professional onboarding flows, booking and dispatch flows, payout flows, support channels, and related professional services (together, the “Platform”).
This Agreement is between you, the independent service professional (“Professional”, “you”, or “your”) and Knoqq (“Knoqq”, “we”, “us”, or “our”). It is written for the Knoqq professional app. It does not govern the separate Knoqq customer app, which has its own separate terms and privacy policy.
By completing onboarding, accepting these terms during sign-up, accepting a booking, or otherwise using the Platform, you agree to this Agreement. If you do not agree, do not use the Platform.
This Agreement should be read together with our Professional Privacy Policy and any onboarding, payout, conduct, safety, quality, or support policy shown in the professional app from time to time.
1. About Knoqq and the Platform
Knoqq operates a home-services technology platform that connects customers seeking household help with independent service professionals.
Knoqq provides the technology platform, booking and dispatch experience, payment facilitation, payout processing, customer support, safety tooling, and operational coordination. Knoqq does not itself perform home services. The home services are performed by independent professionals such as you.
We may add, remove, pause, or change Platform features, service areas, booking types, pricing models, payout structures, eligibility criteria, or platform policies as the product evolves.
2. Independent Contractor Status
You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint-venture, or franchise relationship between you and Knoqq.
You acknowledge and agree that:
- You are not an employee of Knoqq and are not entitled to employee benefits, provident fund, gratuity, paid leave, or similar entitlements from Knoqq, except where mandated by applicable law.
- You control the manner and means by which you perform services, including which bookings you accept, your working hours, and your own methods, subject to the quality and safety standards in this Agreement.
- You are free to provide services to others, including competing platforms, and there is no exclusivity unless separately agreed in writing.
- You are solely responsible for your own taxes, including income tax and GST where applicable, and for your own statutory registrations and filings.
- You are not authorized to make any representation, warranty, or commitment on behalf of Knoqq or to bind Knoqq in any way.
Where applicable law grants you rights or protections as a gig worker, platform worker, or unorganised worker, nothing in this Agreement is intended to limit those statutory rights.
3. Eligibility and Onboarding
To onboard and use the Platform, you must:
- Be at least 18 years old and able to enter into a legally binding agreement.
- Have the legal right to work in India and to provide the services you offer.
- Provide accurate, current, and complete onboarding information.
- Submit required documents, which may include a government-issued photo ID, address proof, PAN, bank account or UPI details, and any skill, training, or equipment information requested.
- Meet any service, skill, equipment, hygiene, or training requirements shown during onboarding.
We may refuse, pause, or restrict onboarding, or require additional information, if eligibility requirements are not met, if verification is incomplete, if there are safety or fraud concerns, or if required by law.
4. Background Verification and Consent
You acknowledge that customer safety depends on verification, and you consent to identity, document, and background verification as a condition of using the Platform.
You agree that:
- Knoqq or its authorized verification partners may verify your identity, documents, address, and background, which may include police or criminal-record verification where permitted by law.
- You will cooperate with verification and re-verification requests, and you authorize relevant agencies and authorities to share verification results with Knoqq or its partners.
- Knoqq may decline, pause, or deactivate your access if verification is incomplete, fails, expires, or reveals information that creates an unacceptable safety, legal, or fraud risk.
- Verification does not transfer responsibility for your conduct to Knoqq.
Verification data is handled in accordance with the Professional Privacy Policy.
5. Bookings, Dispatch, and Service Delivery
Bookings are offered to you through the professional app based on factors such as location, availability, service type, demand, ratings, and operational considerations.
You agree that:
- When you mark yourself available for a time slot, you commit to that availability. Any booking assigned to you during a slot you have made available must be accepted and attended. You may not decline a booking that is assigned within a slot you made available.
- If you are unable to honour a slot, you must remove or change your availability in the app in advance, before a booking is assigned to that slot.
- Once a booking is assigned, you are responsible for arriving on time, performing the service professionally, and working within the booked duration.
- Pricing is based on the customer’s booked duration and applicable fees, not on each individual task. You should plan work within the booked time.
- Knoqq may reassign or substitute bookings based on availability, safety, operational, or quality considerations.
- If you become unavailable after accepting a booking, you must notify Knoqq or cancel through the app as early as possible so a replacement can be arranged.
- You must not collect payment directly from customers for bookings made through the Platform, except where the app explicitly enables a permitted payment method.
You must follow reasonable safety and operational instructions, and you may refuse or stop a service if you reasonably believe the location, request, or circumstances are unsafe, unlawful, abusive, discriminatory, or outside the scope of the booking. You must report such situations to Knoqq.
6. Payments, Pay Cycle, and Taxes
For services performed through the Platform, Knoqq pays you a fixed agreed amount, not a commission or a percentage share of each booking.
You agree that:
- Your pay is the fixed amount agreed with you in writing, and is not a commission or percentage of booking value.
- Knoqq pays you once every 15 days for the services you performed in the preceding period, to your registered bank account or UPI, subject to successful verification of your payout details.
- Knoqq may deduct or adjust amounts for advances, penalties, overpayments, or amounts you owe Knoqq, and may hold a payment pending fraud, safety, or dispute review.
- You are responsible for your own applicable taxes. Knoqq may deduct tax at source (TDS) and collect or report tax-related information where required by law, and may issue or require tax documentation.
- Bank and UPI settlement timelines may depend on the payment provider and your bank, and are outside Knoqq’s direct control.
You must not solicit or accept off-platform payments from customers for Platform bookings. Knoqq is not responsible for disputes, losses, or safety issues arising from off-platform payments or arrangements.
7. Customer Data — Confidentiality and Data Protection
To perform bookings, you will receive customer personal data such as the customer or receiver name, phone number, service address, booking time, duration, selected tasks, and special instructions.
You agree that:
- You may use customer personal data only to perform the assigned booking and for no other purpose.
- You will keep customer personal data confidential, will not copy, store, retain, publish, or share it beyond what is necessary to complete the booking, and will delete or return it on Knoqq’s instruction.
- You will not contact, message, or solicit customers outside the Platform, and will not use customer data for your own marketing, personal, or commercial purposes.
- You will apply reasonable safeguards to protect customer data on your device and will report any suspected data breach, loss, or misuse to Knoqq promptly.
- When handling customer personal data, you act on Knoqq’s behalf and will comply with applicable data-protection law, including the Digital Personal Data Protection Act, 2023.
Breach of this section may result in immediate deactivation and may give rise to liability.
8. Non-Circumvention and No Off-Platform Solicitation
You must not bypass the Platform to privately solicit, accept, or perform services for customers you were introduced to through Knoqq, where those services should be booked through the Platform.
Repeated or deliberate circumvention may result in suspension, deactivation, withholding of payouts permitted by law, and other appropriate action.
9. Conduct and Professional Standards
You agree to:
- Treat customers, their household members, support staff, and Knoqq personnel with courtesy and respect.
- Arrive on time, presentable, and prepared, and carry identification or wear identifying items where required.
- Perform services competently, safely, hygienically, and lawfully.
- Not work under the influence of alcohol or unlawful substances.
- Not harass, threaten, abuse, discriminate against, intimidate, exploit, or harm any person.
- Not subcontract, transfer, or send another person to perform a booking in your place without Knoqq’s prior consent.
- Secure and respect customer property and privacy, and not photograph, record, or publish a customer, their home, or household members except as permitted by law and platform policy.
- Comply with all applicable laws and these standards.
10. Safety and SOS Features
Knoqq takes responsibility for your safety while you perform bookings through the Platform. We provide safety features such as SOS buttons, operational alerts, support escalation, incident review, and safety notifications, and we will support you and respond if a safety concern arises during an assigned booking. You must use safety features only for genuine safety concerns and must follow the safety instructions and guidance we provide.
While Knoqq supports your safety, Knoqq is not itself an emergency response service. In a medical, police, fire, or immediate safety emergency, contact local emergency services first, including India’s emergency number 112 where applicable, and then alert Knoqq.
When a safety feature is used or a safety incident is reported, we may contact you, the customer, internal operations personnel, or relevant authorities, and may retain related data for safety, legal, compliance, and dispute-resolution purposes.
11. Equipment, Supplies, and Expenses
Unless the app or a written policy states otherwise, you are responsible for your own tools, equipment, supplies, transport, and related expenses needed to perform services. Where Knoqq provides any equipment, materials, or branded items, you must use and return them in accordance with the applicable policy.
12. Insurance and Liability Allocation
You are responsible for loss or damage caused by your negligence, misconduct, or failure to follow safety and service standards. Any insurance or protection that Knoqq makes available to professionals applies only as described in the relevant policy and on the terms of the insurer.
You are encouraged to maintain your own insurance appropriate to the services you provide.
13. Indemnity
You agree to indemnify and hold harmless Knoqq, its personnel, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, penalties, costs, and expenses arising from:
- Your breach of this Agreement.
- Your provision of services or conduct at a service location.
- Damage to customer property or injury caused by you.
- Misuse of customer personal data by you.
- False, incomplete, or misleading information provided by you.
- Your violation of law, tax obligations, or another person’s rights.
- Off-platform arrangements or payments.
14. Intellectual Property
The Platform, app, software, designs, text, logos, brand names, graphics, workflows, and platform technology are owned by Knoqq or licensed to Knoqq.
Subject to your compliance with this Agreement, Knoqq grants you a limited, personal, revocable, non-exclusive, non-transferable license to use the professional app for its intended purpose. You must not copy, modify, distribute, sell, reverse engineer, scrape, tamper with, or misuse any part of the Platform, and you must not misuse the Knoqq brand.
If you send us ideas, suggestions, or feedback, we may use them without restriction or payment to you.
15. Ratings, Performance, and Eligibility Metrics
Customer ratings, completion rates, cancellation rates, response times, complaint history, and verification status may affect your dispatch, visibility, eligibility, and continued access to the Platform.
We aim to apply these metrics fairly. Where your access is affected by performance metrics, we will, where reasonable, tell you why and provide a way to respond or appeal.
16. Prohibited Conduct
You must not:
- Make false bookings, false completions, fake claims, or fraudulent payout claims.
- Misuse SOS, safety, support, payout, referral, or rating features.
- Misuse, sell, or share customer personal data.
- Reverse engineer, scrape, copy, tamper with, overload, or interfere with the app, backend systems, APIs, or security features.
- Upload or transmit malware, spam, unlawful content, or content that infringes another person’s rights.
- Use the Platform in a way that violates applicable law or this Agreement.
Violation may result in suspension, deactivation, withholding of payouts permitted by law, reporting to authorities, or other appropriate action.
17. Disclaimers
The Platform is provided on an “as is” and “as available” basis to the maximum extent permitted by law. Knoqq does not guarantee any minimum number of bookings, level of earnings, or uninterrupted availability of the Platform. Nothing in this Agreement excludes liability that cannot be excluded under applicable law.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Knoqq will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of earnings, loss of data, or loss of opportunity.
To the maximum extent permitted by applicable law, Knoqq’s aggregate liability to you for a claim relating to a booking will be limited to the amount Knoqq paid you for the services to which the claim relates. This section does not limit rights or remedies that cannot be limited under applicable law.
19. Suspension, Deactivation, and Termination
You may stop using the Platform at any time and may request account deletion through the app or by contacting us.
We may suspend, restrict, or deactivate your access if:
- You breach this Agreement or platform policies.
- We detect suspected fraud, payment abuse, safety risk, harassment, data misuse, or illegal activity.
- Verification fails, expires, or cannot be completed.
- Required by law, court order, government request, payment-provider rule, or operational necessity.
- Continuing to provide access would create unreasonable legal, safety, security, or business risk.
Where feasible and not a safety or fraud risk, we will provide notice. Termination does not affect obligations that arose before termination, including pending bookings, payouts due to you, amounts you owe, chargebacks, dispute cooperation, confidentiality, and provisions intended to survive termination.
20. Changes to This Agreement
We may update this Agreement from time to time. The updated version will show a new “Last Updated” date. If we make material changes, we may notify you through the app, email, push notification, or another appropriate channel. Your continued use of the Platform after updated terms become effective means you accept them.
21. Governing Law and Disputes
This Agreement is governed by the laws of India. If a dispute arises, please contact us first so we can try to resolve it informally. Subject to applicable law, courts in Bengaluru, Karnataka will have jurisdiction over disputes relating to this Agreement or the Platform.
